General Terms and Conditions

1. Definitions

1.1 Entrepreneur: The legal entity Sem-Planos, established in Helmond, registered with the Chamber of Commerce under number 94134553, hereinafter referred to as "Sem-Planos".
1.2 Consumer: Any natural person acting for purposes outside their trade, business, or profession and entering into an agreement with Sem-Planos.

1.3 Business Customer: Any legal entity or natural person acting in the exercise of a profession or business and entering into an agreement with Sem-Planos.
1.4 Customer: An umbrella term that includes both consumer and business customers.

1.5 Agreement: Any written or digital agreement concluded between Sem-Planos and the customer regarding the delivery of products or services.
1.6 Products: All goods offered by Sem-Planos, including premium saffron and related products.
1.7 Written: Communication by email, post, or any other medium that allows for written record.

1.8 Right of Withdrawal: The consumer's right to cancel the agreement within the statutory cooling-off period of 14 days without giving any reason. This does not apply to business customers.
1.9 Working Days: All days of the week, excluding Saturdays, Sundays, and public holidays in the Netherlands.
1.10 Force Majeure: Any circumstance beyond the reasonable control of Sem-Planos, including natural disasters, pandemics, strikes, government measures, or other unforeseen circumstances.

2. Applicability of the Terms and Conditions

2.1 These General Terms and Conditions apply to all offers, quotations, agreements, and deliveries of products by Sem-Planos to both consumers and business customers.
2.2 Any deviations from these Terms and Conditions are only valid if expressly approved in writing by Sem-Planos.
2.3 By placing an order, the customer agrees to these Terms and Conditions.
2.4 If any provision of these Terms and Conditions is declared invalid or unenforceable, the remaining provisions will remain in full force and effect.
2.5 Sem-Planos reserves the right to reasonably apply additional provisions if these Terms and Conditions do not provide for them.

3. The Offer

3.1 An agreement is concluded when the customer places an order via the website or another means of communication and Sem-Planos confirms this in writing.
3.2 Sem-Planos reserves the right to refuse an order if there are reasonable grounds to doubt the customer's ability to pay or intentions.
3.3 For business customers, orders are only considered final after written confirmation by Sem-Planos.

4. Formation of the Agreement

4.1 An agreement is concluded when the consumer places an order through the Sem-Planos website and Sem-Planos confirms this order in writing.
4.2 Sem-Planos reserves the right to refuse an order if there are reasonable grounds to believe that the consumer will not fulfill their obligations under the agreement.
4.3 If an order cannot be fulfilled, Sem-Planos will inform the consumer as soon as possible and refund any payments.
4.4 By placing an order, the consumer declares that they are of legal age and authorized to enter into an agreement.
4.5 The consumer is responsible for providing correct and complete information when placing an order. Errors or inaccuracies may lead to delays or additional costs, which are entirely the consumer's responsibility.

5. Prices, Payments and Costs

5.1 All prices are in euros, including VAT for consumers and excluding VAT for business customers, unless otherwise indicated.
5.2 Payment must be made in advance using the payment methods offered by Sem-Planos.
5.3 For business customers, a payment term of up to 30 days after the invoice date may be applied, provided that written agreement is agreed upon.
5.4 In the event of late payment by business customers, Sem-Planos is entitled to charge statutory interest and collection costs.

6. Delivery and Shipping Conditions

6.1 Delivery will take place within the specified timeframe, unless otherwise agreed.
6.2 Sem-Planos is not liable for delays due to force majeure.
6.3 For business customers, delivery will be made to the address specified by the customer. The risk of damage or loss passes upon delivery.
6.4 The customer must inspect the products for damage or defects upon delivery and report any such damage or defects within 24 hours.

7. Right of withdrawal and returns

7.1 Consumers have the right to cancel the agreement within 14 days without giving reasons.
7.2 Business customers do not have the right of withdrawal, unless otherwise agreed.
7.3 Return costs are the responsibility of the customer, unless otherwise agreed.
7.4 If products are damaged upon return, Sem-Planos reserves the right to charge for the depreciation.

8. Warranty and Liability

8.1 Sem-Planos guarantees the quality of its products.
8.2 Complaints must be reported in writing within 7 days of discovery.
8.3 Sem-Planos is only liable for direct damage caused by intent or gross negligence.
8.4 Indirect damage, such as lost profits, will not be reimbursed.
8.5 Sem-Planos is only liable for direct damage resulting from intent or gross negligence on its part.
8.6 Sem-Planos is never liable for indirect damage, such as lost profits, consequential damage, or immaterial damage.

9. Privacy and Data Protection

9.1 Sem-Planos processes personal data in accordance with the General Data Protection Regulation (GDPR).
9.2 Customers can have their data corrected or deleted by contacting us.

11. Applicable Law and Disputes

11.1 These terms and conditions are governed by Dutch law.
11.2 Disputes will initially be resolved by mutual agreement. If no resolution is reached, they will be submitted to the competent court in the district of East Brabant.
